Terms of Service

1. Agreement and Eligibility

By accessing or using Alley AI, you agree to these Terms and to our Privacy Policy. If you use the service on behalf of a company or brand, you represent that you have authority to bind that organization to these Terms.

You must be at least 18 years old and legally able to enter into a binding agreement. You may not use the service if your access has been suspended or terminated by Alley AI.

2. What Alley AI Provides

Alley AI is a software platform for TikTok Shop sellers and related teams. Depending on your plan and connected accounts, the service may include analytics dashboards, product research, creator search, message drafting and review queues, script generation, exports, subscription management, and TikTok Shop data workflows.

Some features rely on third-party platforms, including TikTok, Google, and Stripe. Feature availability can change when those providers change their APIs, approval requirements, policies, quotas, or service terms.

3. Accounts and Account Security

You agree to provide accurate information, keep your login credentials secure, and promptly update your account details when they change.

• You are responsible for activity that occurs under your account.
• You must not share credentials or allow unauthorized use of your account.
• You must notify us promptly if you believe your account has been compromised.
• If you enable optional two-factor authentication, you are responsible for safeguarding your authenticator app and recovery access.

4. TikTok, Google, and Other Third-Party Services

Alley AI is not affiliated with or endorsed by TikTok, Google, or Stripe except through their public developer or commercial programs. Your use of those services remains subject to their own terms and policies.

We do not guarantee that third-party APIs, OAuth flows, or platform permissions will remain available, unchanged, or uninterrupted.

5. Plans, Trials, Billing, and Renewal

Paid plans, trial offers, and pricing are described on our Pricing page and in Stripe Checkout. Billing is processed by Stripe.

• Subscriptions renew automatically until canceled.
• Trial eligibility may be limited to new customers or one trial per account or billing profile.
• You authorize recurring charges to your selected payment method until you cancel.
• Some plan changes may be prorated or handled through Stripe billing rules.
• Taxes, fees, and provider-imposed charges may apply where required.

You can manage billing details and active subscriptions through the Stripe customer portal or the Alley AI billing settings made available in your account.

6. Cancellations and Refunds

Cancellation and refund rules are described in our Refund Policy, which is incorporated into these Terms. Unless required by law or otherwise approved by us in writing, paid fees are non-refundable once charged.

If you cancel, your subscription normally remains active through the end of the current paid period unless Stripe or an applicable promotion provides otherwise.

7. Your Content and Temporary File Storage

You retain ownership of the content you submit to Alley AI, including templates, drafts, captions, support messages, and outreach records. You grant Alley AI a non-exclusive license to host, process, copy, transmit, and display that content only as needed to operate the service.

Certain workflows require server-side storage. For example, creator-outreach drafts, templates, review state, and seller-confirmed manual-delivery metadata are stored so your team can manage outreach history. We may also keep related metadata and logs needed to provide the service and investigate issues.

8. Acceptable Use and Platform Compliance

You may use Alley AI only for lawful business purposes and in a way that complies with platform rules and third-party terms.

• Do not send spam, harassing, deceptive, or unlawful messages.
• Do not use Alley AI to evade TikTok rules, scope requirements, moderation, rate limits, or account restrictions.
• Do not upload infringing, defamatory, malicious, or illegal content.
• Do not scrape, reverse engineer, probe, or abuse Alley AI or third-party systems beyond authorized use.
• Do not interfere with security controls, quotas, or abuse-prevention safeguards.
• Do not resell access to the service unless we expressly authorize it in writing.

You remain responsible for reviewing AI-generated content and for any message, post, or business decision you publish or send using Alley AI.

9. Intellectual Property

Alley AI, including its software, design, trademarks, branding, and original platform content, is owned by Alley AI LLC or its licensors and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no license or ownership interest in Alley AI intellectual property is transferred to you.

10. Disclaimers

Alley AI is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

• We do not guarantee revenue, conversion, creator responses, post reach, or business outcomes.
• We do not guarantee approval or continued availability of any third-party integration.
• AI-generated suggestions may be incomplete, inaccurate, or unsuitable without human review.

11. Limitation of Liability

To the maximum extent permitted by law, Alley AI LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption arising out of or related to the service.

Our aggregate liability for any claim relating to Alley AI will not exceed the greater of $100 USD or the amount you paid us during the 12 months before the event giving rise to the claim.

12. Suspension, Termination, and Changes

We may suspend or terminate access if you violate these Terms, create security or platform-risk issues, fail to pay required fees, or expose Alley AI or its providers to legal or operational risk.

We may change these Terms from time to time. If we make a material change, we will post the updated Terms here and update the effective date. Continued use after a change takes effect means you accept the revised Terms.

13. Governing Law and Contact

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or the service will be brought in the state or federal courts located in Texas.
